Role overview

We are seeking an experienced Tech Transaction Lawyer to join our Legal team. The successful candidate will provide expert legal advice and support across various aspects of our business, across various geographies, ensuring compliance with applicable laws and regulations, and supporting our strategic objectives. The position will report to the CFO.

Key Responsibilities

  • Draft, review, and negotiate NDAs, customer and vendor agreements, including Service-Level Agreements (SLAs), End-User License Agreements (EULAs), and subscription contracts,
  • Advise on compliance with data protection laws, such as GDPR, CCPA, and other relevant privacy regulations,
  • Provide legal guidance on intellectual property matters, including software licensing, copyright, and trademark issues,
  • Assist with corporate governance and compliance matters, ensuring adherence to internal policies and relevant laws,
  • Handle disputes and manage litigation related to SaaS agreements and other commercial matters, coordinating with external counsel when necessary,
  • Conduct legal research and stay updated on changes in laws and regulations impacting the SaaS industry,
  • Collaborate with internal departments, such as Sales, R&D, Marketing, to provide proactive legal support,
  • Develop and implement legal policies and procedures to mitigate risks and enhance operational efficiency.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school,
  • Active membership in good standing with the state Bar Association and UBE jurisdiction,
  • 5-7+ years of experience in Tech transaction Law,
  • Strong knowledge of contract law, data privacy laws, and intellectual property law,
  • Excellent drafting, negotiation, and communication skills,
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment,
  • Ability to negotiate effectively and handle complex legal issues,
  • Strong analytical and problem-solving abilities,
  • High ethical standards and professional integrity,
  • Strong organizational skills and attention to detail,
  • Ability to work independently and as part of a team.
