ACTIVITIESThe Legal Counsel’s scope will notably include the negotiation of intragroup contracts with AXA entities worldwide and activities related to intellectual property for various Group Operations entities. The Legal Counsel’s mission will also consist in participating to a community of Legal Counsels on Intercompany Agreements and be a key contributor for the definition and implementation of processes and best practices. The Legal Counsel will also contribute to the other team activities regarding International Legal topics.With this respect, the Legal Counsel will:

  • Design, negotiate and monitor the conclusion of intercompany agreements between any AXA Group Operations entity and its customers (i.e. AXA Group companies worldwide)
  • Act as a legal Business Partner in all activities relating to intragroup contractual negotiations, including IP transfers in cross-boarder operations
  • Perform IP assessments and elaborate efficient and pragmatic legal solutions regarding IP transfers
  • Act as a determining contributor in fostering the Intragroup Agreements Legal community, including the definition and implementation of standards, processes, and best practices
  • Foster harmonization and convergence of best practices, continuously identify areas of improvement and simplification, recommend, and implement action plans for his/her scope
  • Supervise and review the creation and update of templates of agreements, in coordination with business partners, and train internal clients
  • Advise on legal processes and execution of contracts, in coordination with internal partners
  • Train and raise awareness about Legal/Regulatory items to non-expert people or external families (Knowledge Management)
  • Maintain technical expertise in field and promote it internally
  • Contribute to M&A activities/projects
  • Contribute to the improvement of the Department’s processes and tools

These activities cover the management of a range of intercompany agreements on a recurring basis as well as frequent one-off projects, in particular IT, Innovation, Finance and Security projects.These responsibilities aim at ensuring that AXA GO is always compliant with international/local legislations/regulations and would not be exposed to sanctions, fines or lawsuits.QualificationsRequired SKILLS

  • Qualification to act as a lawyer in France
  • Contractual legal experience in law firm(s) and/or in-house
  • High standards knowledge in IT, Intellectual Property, licenses, and contract negotiation
  • Familiar with professional insurance regulations and finance/tax issues
  • 7+ years’ solid legal experience in negotiation of contracts
  • Ability to work in an international and culturally diverse environment
  • Self-motivated, creative, and autonomous with good interpersonal skills
  • Ability to effectively communicate with Top Executive Management
  • Outstanding drafting skills
  • Fluency in English is a must. Fluency in French and/or German is a strong asset

Professional and Technical SKILLSTransaction Management / Negotiation & Drafting Skills:

  • Ability to negotiate and draft legal documentation in English
  • Ability to draft internal presentations and memos for internal clients including General Secretary, CEO, CFO, CIO, Executive Committee, Board

Technical expertise:

  • Understanding of customer activities to identify the risks and issues in their environment and implement efficient solutions with minimum impacts on the day to day work
  • High level of understanding of IT business and related legal/regulatory items
  • Ability to provide advice regarding legal matters in accordance with AXA’s strategy
  • Ability to identify legal and reputational risks
  • Delivering legally compliant documentation with favorable provisions and in line with best available market practice

Inter-Relational SKILLS

  • Having a positive attitude and leadership skills
  • Explaining concisely complex legal topics and their relevance to non-legal people including Management and operational teams
  • Giving ad hoc oral advice, in particular to Business, on a daily basis
  • Translating business decisions into legal documentation
  • Ensuring maximum legal and reputational protection for the company
