Make your mark for patientsTo strengthen our Ethics & Legal Affairs – Corporate Secretary, Legal Finance and M&A team, based at the HQ, in Brussels, Belgium we are looking for a talented individual to fill the position of: Legal Counsel – Corporate Governance and AdministrationThis role supports the Head of Corporate Governance and Administration in managing corporate law compliance and UCB’s obligations as a Belgian listed company. As part of a collaborative team, it involves advising on corporate matters, including governance, and overseeing processes to ensure compliance with legal obligations such as reporting, transparency declarations, share buyback operations, and organizing Annual Shareholders’ Meetings.The position is also involved in managing market abuse compliance programs, including insider lists, FSMA reporting, and related legal advice. Additionally, it supports the corporate administration of approximately 80 UCB affiliate entities worldwide, working closely with a paralegal and an external service provider.This role offers a unique opportunity to contribute to UCB’s compliance excellence while engaging in diverse and meaningful legal and administrative responsibilities within a dynamic global environment.Who you’ll work withThis role, under the supervision of the Head of Corporate Governance and Administration, will collaborate closely with internal functions such as Investor Relations, Global Communication, Sustainability & Risk, and Talent Operations. It will also involve regular interaction with external stakeholders and authorities, including the FSMA, Euronext, Euroclear, external agencies, public notaries, and paying agents.The position reports to the Head of Corporate Governance and Administration and is part of the broader Corporate Secretariat, Legal Finance, and M&A team, led by UCB Group’s Secretary General within the Global Ethics and Legal Affairs business unit. This role offers the opportunity to work across diverse teams and with key external partners, contributing to UCB’s corporate governance and compliance excellence.What you’ll do
- This role will assist the Head of Corporate Governance and be involved in ensuring UCB SA/NV complies with all obligations as a listed company, including reporting, disclosure, official publications, and interactions with FSMA and Euronext Brussels as well as overseeing legal requirements for disclosures (e.g., Integrated Annual Report, corporate governance statement) and managing corporate actions like dividend payments.
- Provide advice on corporate governance, including maintaining, updating, and implementing related procedures, policies, and processes. Ensure regulatory monitoring in relevant domains.
- Assist in managing relationships with UCB SA/NV shareholders, including maintaining the shareholder register, organizing General Shareholders Meetings, coordinating with the Reference Shareholder, Proxy Advisors and Proxy Solicitors, external providers, and arranging roadshows with investors and shareholders.
- Assist the Head of Corporate Governance in overseeing the corporate administration of approximately 80 UCB affiliate entities worldwide, with the support one paralegal and an external provider.
- Manage some operational procedures and compliance processes related to insider trading prevention and disclosure obligations.
- Provide legal advice on corporate law and governance to mitigate risks and ensure compliance. Build relationships with stakeholders, monitor legislative evolution, and manage complex legal issues.

- Master’s degree in Belgian law (J.D.), with 3-5 years of experience, preferably related to Belgian company law.
- Proficient in French, Dutch, and English, with strong communication and problem-solving abilities.
- Prior experience in (Belgian) corporate law, either as a legal advisor in a law firm or as in-house counsel, is an asset.
- Technologically adept, with expertise in the MS 360 suite, a proactive approach to digitalization, and comfort with digital environments, including AI.
- Demonstrates a team-player mindset with enthusiasm, generosity, and the ability to work effectively with internal and external stakeholders.
- Capable of managing administrative tasks and processes while adapting to diverse projects, prioritizing effectively, and handling stress and unpredictability in a dynamic, international business environment.
