At FDB, you determine what’s possible.Our Manufacturing site in Hillerød, Denmark, brings together a complete range of expertise, capabilities and technologies to manufacture advanced biologics, and that site is growing fast—growth that you can be an important part of!About the RoleAs Legal Counsel, you will deeply integrate yourself into the FDBD business by participating in daily face-to-face meetings and using a go-look-see approach to understanding and resolving legal issues as they arise.You will develop a deep understanding of the ongoing projects and their priorities and will work closely with the project management teams achieve FDB’s goals, while developing a reputation of being a trusted business advisor.Legal Counsel must have the ability to work and build close working relationships with FDB legal colleagues, internal clients, cross-functional teams and global legal team. The selected candidate must be a clear communicator, and have the ability to quickly get up to speed on our projects, while bringing a deep legal knowledge and experience that will serve as a critical asset for the business.Legal Counsel must be capable of providing excellent legal guidance on a wide range of matters, including the negotiation of contracts. You will work closely with your international colleagues in the FDB legal team and will share perspectives, learnings, and templates.About the TeamLegal Counsel will be a key part of the FDB legal team based in Denmark, UK and US. Together, that team strives to develop and implement a consistent approach to providing legal support to FDB globally in both its day to day business as a world leading CDMO and also in its extensive CapEx expansion projects. The global FDB legal team takes pride in its intra-group collaboration and relaxed interpersonal relationships, while maintaining a high pace and providing superior legal services.Legal Counsel will report to the new Legal Director for Denmark.Your primary tasks will be:Commercial and Program Management support:

  • lead the legal review, drafting and negotiation of all types of business as usual commercial agreements (for example scopes of work and CDAs) and support Legal Director on those relating to strategic and high profile customer collaborations (including MSAs and supply agreements)
  • work with FDB’s patent agent on matters of IP
  • identify and advise on associated commercial and Quality issues arising out of commercial agreements
  • liaise with the capital projects teams to understand business and contract requirements, draft and negotiate capital procurement contracts
  • support the business by managing contractual disputes; in each case identifying the need for assistance from, and managing, expert assistance when required
  • act independently with escalation of issues to Legal Director and Compliance Officer and business management when required.

Management briefing: support Legal Director and and FDBD Compliance Officer to brief, and advise, business management on legal issues.Precedent documentation: assist in the maintenance/growth of a bank of precedent legal documents (and supporting guidance) for use in the business and be able to provide training to the business on use of those documents.Compliance: work closely with the Legal Director and FDBD Compliance Officer in support of compliance issues and roll out of compliance policy and training, including flagging and assessing data protection risks within the business.Policy and Guidance: assist Legal Director and FDBD Compliance Officer with the implementation of business policies and guidance; legal projects and roll out of associated legal training/mentoring to the business.Ancillary legal support: provide support to business functions such as HR and EHS including identifying the need for assistance from, and managing, expert assistance when required.FDB Affiliates: work with US/European FUJIFILM Legal Department and Compliance Team colleagues supporting FDB Europe’s sister companies to help achieve the FDB group corporate objectives.Know-how: knowledge of Danish law and relevant legal practice (including the ability to identify potential issues in other legal jurisdictions); be able to interpret new and revised Danish and European legislation and provide appropriate and accessible guidanceQualificationsAs a Legal Counsel you develop an intimate and detailed knowledge of the Fujifilm Diosynth Biotechnologies Group business practices, processes and commercial drivers in order to effect maximal legal advice. You balance legal advice against complex pressures which include successful completion of contractual negotiation. You are capable of identifying risks which potentially compromise the interests of FDB and supporting Legal Director and other members of the Legal and Compliance teams, to resolve those issues.You cooperate with counterparts at client organisations charged with securing similar objectives for their own businesses.We are looking for a candidate with the following background and skill sets:

  • +10 years of relevant experience
  • specialist knowledge is desirable; for example experience of biologics in a legal context; in areas of compliance (for example GDPR); intellectual property; energy contracts or supporting capital projects
  • a pro-active approach with the ability and self-awareness to recognise when support is required
  • good interpersonal, relationship-building and influencing skills across a complex matrix organisation and across client organisations
  • exceptional communication skills both orally and in writing are required
  • fluent in English as the role will be predominantly in English and all documents will be in English.
  • good listening and interpreting skills
  • ability to travel to support face to face meetings is required.
