Flow Traders is looking for a Law Associate to join the Corporate Secretary Team at Flow Traders. This is a unique opportunity to operate within the beating heart of a fast-paced fintech firm, with significant exposure to senior leadership at Flow Traders. In this role you will be responsible for a wide array of day-to-day tasks as well as various recurring and one-off projects.What you will do

• Advise on and/or resolve corporate law and governance related queries from internal and/or external stakeholders
• Draft corporate resolutions, e.g. in respect of governance changes, intragroup transactions or other requisite corporate approvals
• Prepare, organize and attend Board and Committee meetings, including taking minutes, noting down action items, and following up with internal stakeholders
• Support with the preparation of the firm’s Annual General Meeting
• Assist in drafting the firm’s Annual Report from legal and governance perspective
• Take a pro-active role in the firm’s ESG related efforts from a legal and governance perspective
• Take co-responsibility for all aspects related to good governance, derived from e.g. the Dutch Corporate Governance Code
• Take co-responsibility for part of the firm’s regulatory compliance program, e.g. in respect of Insider Trading regulations under the Market Abuse Regulation
• Take co-responsibility for process-optimization, including ways of working, LegalTech tooling, standard operating procedures, templates and policies

What you need to succeed

• 2-5 years of relevant working experience, e.g. in a law firm, a corporate/trust services firm, or a large corporation
• Work experience as a candidate civil law notary, lawyer, legal counsel, paralegal or Corporate Secretary (assistant) is an advantage
• Degree in law
• Knowledge of Dutch corporate law and corporate governance is a prerequisite
• Proficiency in English, both written and spoken is a prerequisite, Proficiency in Dutch a strong advantage
• Team player personality with excellent interpersonal, communication and organizational skills
• Determination to achieve high-quality results and an eagerness to learn.
• Ability to work under pressure and work flexible hours if needed
• Excellent organizational skills
• Ability to effectively engage different stakeholders in and outside the organization
• Knowledge of insider dealing regulations and ESG developments is an advantage
