Will be part of the in-house legal department of American Express (known as the General Counsel’s Organization) in Spain as the hub for Europe, this role will help to provide company secretarial administration support for American Express companies in Spain and its branches around Europe.How will you make an impact in this role?We are looking for a permanent administrative position within the Legal Department of American Express in Spain at the Madrid office that will assist the Corporate Secretary team in their daily governance functions in different activities and projects aimed to enhance the corporate governance structure of the Spanish American Express legal entities.Your role and responsibilities:

  • Your role under this position is to give qualified administrative support in the ordinary tasks of the Corporate Secretary team, which includes, among others:
  • To deal with corporate information and documentation in connection with the Spanish American Express legal entities and its branches around Europe:
  • To manage and maintain a complete and accurate companies’ physical and online databases, registers, records, director and signatory rosters.
  • To provide corporate information and documentation to internal and external stakeholders in connection with the companies and branches of Amex in Spain. Responding to audit requests.
  • To work closely with other departments providing guidance regarding corporate information and documentation
  • To submit online filings of corporate documents before Spanish Authorities (CNMV and Bank of Spain, etc.)
  • To coordinate and obtain corporate documentation from outside counsel and manage signature processes.
  • To support in the preparation of board meetings, including managing logistics, assisting with the preparation and distribution of meeting materials for the board, notices, agendas, creating and storing of board packs. Managing distribution lists and tracking board actions. Maintain board calendars, seeking and monitoring director availability for additional meetings as necessary.
  • To manage and monitor the use of board management software and others.
  • To manage and maintain an intranet page, as well as implementing new tools for the improvement of the area.
  • To help with the comprehension and implementation of internal procedures of the company. To draft guidelines and processes when necessary.
  • To be the point of contact for key stakeholders for administrative corporate secretary matters.

Minimum Qualification:

  • Your experience:
  • previous experience and training in similar roles, including an internship (e.g., in-house or at a law firm specialized in corporate law, if he has worked in a notary’s office or agency, etc.),
  • cross-border communication: experience in liaising with foreign stakeholders and navigating multi-jurisdictional environments, and
  • multi-national exposure: experience working in large-scale business or multinational corporations
  • Your academic background:
  • A degree in Law or legal knowledge is preferable, but not required.
  • Very fluent in Spanish and English, written and spoken.
  • Excellent command of Microsoft Office (Excel, PowerPoint, Word) and technologies.
  • Your personal skills:
  • Excellent attention to detail and administrative, planning and organizational skills.
  • Ability to communicate clearly with all levels of personnel and other internal and external stakeholders.
  • Initiative and ability to assume responsibilities.
  • Honesty, professionalism, common sense and ability to be discreet and maintain confidentiality.
  • Punctual and reliable, with initiative.
  • Strong writing and drafting skills. Strong interpersonal and communication skills and strong work ethic.
  • Ability to adapt and handle several tasks at the same time and to work as a team.
  • Agility, teamwork, ability to coordinate and engage with people located in different countries. Must be able to work within a team environment or independently, as required.
  • Ability and willingness to timely meet fluid and changing priorities
  • Ability for technologies and online processes (techy person)
  • Proactively seeks out opportunities to improve processed and ensure the effective functioning of the secretariat
