The company was founded on May 29, 1933 and is headquartered in Dhahran, Saudi Arabia.Job SummaryThis Company is seeking to appoint an M&A Finance Analyst to join the M&A Advisory Department, which is part of the Finance organization. The M&A Advisory Department provides finance input to transactions throughout the transaction process, including structuring, valuation, due diligence, and support to negotiations and documentation, as well as providing objective and independent advice to executive management relating to transactions.The M&A Finance Analyst role supports the development and execution of large and complex international transactions by acting as a single point of contact for all finance-related inputs throughout the lifecycle of transactions, often against challenging deadlines. Activities include screening opportunities, structuring and framing, formulating valuation and bid price recommendations, financial due diligence, advising on accounting aspects of transactions, reviewing definitive agreements, purchase price adjustments, integration planning, and post-transaction evaluations. The M&A Finance Analyst will interface with other transaction team members and specialists within Finance such as Project Finance.Responsibilities:

  • Provides expert and impartial advice to executive management to facilitate decision-making across all transaction aspects.
  • Plays a key role in multifunctional transaction teams, offering comprehensive financial support throughout transactions.
  • Evaluates commercial options and assesses transaction counterparties and joint venture partners.
  • Ensures valuation accuracy in transactions, including meticulous preparation of financial models adhering to This Company standards, robust documentation of assumptions, and thorough risk assessment.
  • Presents bid price recommendations to senior management considering the competitive landscape.
  • Manages financial due diligence, coordinating advisors’ activities, and communicating findings to executive management for valuation and agreement considerations.
  • Offers guidance on transaction accounting aspects.
  • Contributes to definitive transaction agreements and oversees purchase price adjustments and post-transaction allocations.
  • Participates in integration planning, advising on finance integration aspects.
  • Coordinates inputs from other finance experts in transactions.
  • Guides and mentors team members in transaction processes.
  • Contributes to process and methodology enhancements to establish M&A execution excellence within the company.
  • Undertakes ad hoc financial analysis tasks, including transfer pricing, impairment reviews, government incentives, and group policy reviews.
  • Oversees external Financial Advisors and consultants on transactions, fostering relationships with banks to gain external perspectives on the M&A landscape.

Requirements:

  • This role required candidate to permanently relocate at Dhahran, Saudi Arabia.
  • Accumulate over 10 years of relevant experience in conducting financial analysis for M&A transactions, often acquired in leading investment banks, accounting firms, or large international corporations.
  • Demonstrate significant involvement in large and intricate cross-border transactions, with a particular emphasis on the energy, natural resources, or infrastructure sectors.
  • Possess expert-level proficiency in financial analysis tools and methodologies, with a thorough understanding of financial statements, International Financial Reporting Standards (IFRS), and international taxation.
  • Hold a Bachelor’s degree in Finance, Accounting, Business, Management, or Engineering; while an advanced business degree (e.g., MBA) or Accounting qualification is preferred, it’s not mandatory.
  • Excel in numerical skills, demonstrating methodical organization and adaptability to dynamic work environments with multiple competing priorities.
  • Display strong communication skills, both verbal and written, and function effectively as a team player, readily integrating into diverse teams and providing coaching and mentorship to fellow team members based on your extensive experience.
