It protects and guarantees work conditions that respect individual dignity, while promoting a collaborative, harmonious, fair and supportive work environment.As a Corporate Mergers and Acquisitions Analyst, you will join, within the Strategy and M&A function, the Mergers and Acquisitions dept. and will be involved in the sale / acquisition of companies, business units and participations within Saipem Group. You will be asked to provide support in the M&A process for the sale / acquisition of companies, business units and participations within Saipem Group.Responsibilities:
- the coordination of the Italian and worldwide cross-functional internal team and of the external advisors (Tier 1 Investment bank, Big4, legal advisor, business advisor – if any) involved in the M&A transaction on one side and on the other side participation to the discussion with the counterparty in order to negotiate the main terms and conditions of M&A transaction (mainly cross-border);
- the structuring of the deals and the analysis of the financial statements of the target;
- the due diligence process, ensuring coordination of all the parties involved and deadlines;
- the review and analysis of transaction documents (e.g. NBO, SPA, SHA, AoA, etc) with the support of the relevant company functions;
- the preparation of presentations and reports for the top management and the board of directors (e.g. deals overview, competitors analysis, etc..) and the analysis of the main drivers in the M&A field.
QUALIFICATION: Master’s degree in Economics/ Finance or Management Engineering.KNOWLEDGE OF ENGLISH LANGUAGE: Proficiency in English, ideally improved through an education/working experience abroad or in an international context.LABOUR RELATIONSHIP: Permanent contract.YEARS OF EXPERIENCE: 1 years of experience in corporate development, investment banking, private equity, or consulting. Experience with strategic partnerships or corporate development in a large and structured organization is a plus. Base knowledge of financial statement analysis and reclassifications.IT SKILLS: Excellent knowledge of MS Office suite. Database knowledge is considered a plus (eg. Orbis, MergerMarket, Pitchbook, Bloomberg).SOFT SKILLS: Excellent written and verbal communication skills. Solid analytical skills and excellent problem-solving attitude. Ability to work autonomously and in a team environment.
