Believe’s mission is to develop local artists and labels in the digital ecosystem by providing them the solutions they need to grow their audience at each stage of their career and development.Its 2,020 employees in more than 50 countries aim to support local artists and labels with a unique digital expertise, respect, fairness and transparency.To support our fast-growing presence on all continents, we are constantly looking for new Believers to join us and make a stronger and more positive impact on the music industry!Believe is listed on compartment B of the regulated market of Euronext Paris (Ticker: BLV, ISIN: FR0014003FE9).Ready to #setthetone with Believe?Job DescriptionThe Legal Corporate team within the Legal department, made up of two lawyers, manages the legal secretary for the listed company Believe and its French and foreign subsidiaries located throughout the world, as well as intra-group agreements.You will strengthen the Legal Corporate team by managing your own evolving portfolio of jurisdictions and intra-group agreements, under the supervision of the Head of Legal Corporate.Management of a portfolio of jurisdictionsAutonomous management of an evolving portfolio of companies, mainly outside France and on all continents. The group is growing strongly, either organically or through acquisitions, and is implementing a dynamic policy of optimizing its legal structures (around fifty to date).Privileged interlocutor of various other departments of the group (central and local, in particular with Financial Department), the Group’s management (Executive Committee, Regional Managers) and subsidiaries (General Manager/General Manager Operations). Supervision of external stakeholders (lawyers, auditors, etc.).Responsible for drafting all legal documents related to corporate law, monitoring compliance with operational schedules, and legal deadlines.Main missions:

  • Responsible for the legal life of companies and their bodies (Boards of Directors, General Meetings, amendments to the articles of association, corporate mandates, delegations, etc.).
  • Management of exceptional transactions (capital operations, restructurings, mergers, partial asset transfers, liquidations, etc.).
  • Identification and resolution of legal issues relating to corporate law, employee profit-sharing plans, governance, or other cross-functional group projects.
  • Monitoring compliance with legal deadlines and transactions schedules,
  • Development and implementation of the group’s policies by adapting them to the local regulations of the subsidiaries.
  • Assistance in the implementation of a system of software to monitor legal life and its proceedings.
  • Supervision of the integration of acquired/created companies.

This list is non-exhaustive and may evolve over time in line with Legal Corporate’s needs.Management of intra-group agreementsManagement of Believe Group’s intra-group agreements, including drafting and monitoring contracts through to signature. Privileged interlocutor for intra-group agreements, you will work in collaboration with other departments (central or local).The diversity of intra-group agreements will require you to draft music business agreements (branding licensing agreements, digital distribution agreements, publishing and neighbouring rights management services agreements, etc.), finance and cash management agreements, management services agreements. This list is not exhaustive.QualificationsAt least 5 years’ experience in international corporate law (as an attorney or in-house), if possible, in a fast-growing environment with legal entities on all continents. Significant experience in managing and drafting intra-group agreements.

  • Master 2 in business law, specializing in company law.
  • Fluent level of English, both spoken and written

Candidate profile

  • Autonomy, diplomacy, discretion, team spirit and sense of service.
  • Ability to manage complex/high-stakes cases, identifying key issues.
  • Ability to identify the needs and challenges of different internal clients, of very different nationalities.
  • Excellent writing and interpersonal skills, with a sense of detail.
  • Organizational skills combined with a high level of rigor.
  • A real attitude for teamwork is expected, as well as excellent interpersonal skills in order to communicate with various persons at all levels of the organization.
  • Ability to identify, explain and report all important issues to management
  • A background in intellectual property is a plus
