This role will require to be in the office five days a week.ScopeYou will report into the Enterprise Service Manager. In your day to day activities you will work with experienced Paralegals, along with the Legal Services, Financial Services and Relationship Management teams. You will work together to ensure high client satisfaction, by providing support for a full range of corporate services for our international clients.The Paralegal team is an essential part of our organization, who really support for most of our client processes and to almost all of our business teams. Are you ready for this central role?Key responsibilitiesThe paralegal team provides a range of services from arranging signatures to working out minutes for board meetings and from UBO registrations to KYC/Chamber of Commerce reporting. The work of this team includes:

  • Prepare and handle standardized resolutions and proxies (i.e. absence, extension financial statements, changes of board, address, other statutory changes, etc.) and arranging wet ink/digital signatures on the resolutions;
  • Perform administrative tasks and assist with the preparation and review of (standardized) legal documentation and forms;
  • Support with organization of (board, general) meetings including invites, drafting and signing of power of attorney, arranging board packages as well as preparation concept minutes for board and/or general meetings;
  • Support the coordination and preparation of the client on boarding process, client on boarding documentation as well as administrative activities to i.e. ensure files and systems are set-up accurately;
  • Support the liquidation process, such as coordination, preparation filing and handling of legal documentation and administrative tasks;
  • Handle/monitor the internal outflow process;
  • Support the preparation of (periodic) regulatory compliance review and provide assistance with incidental compliance review;
  • Handle KYC requests, assist and set out KYC related regulatory reporting to DCB and provide assistance with regulatory requirements (KYC, AML, FATCA, CRS, CBS, AIFMD, UBO, etc.);
  • Ensure the accurate administration and filing, further support other Service Delivery teams with accurate filing of documents;
  • Support monitoring of (external) client entity deadlines as well as internal deadlines;
  • Handle requests for certification, legalisation, apostille;
  • Handle incoming- and outgoing mail.

Key Requirements

  • Structured, detail-oriented person, with a high focus on quality and client satisfaction;
  • Proven knowledge of Book 2 of the Dutch Civil Code (Dutch corporate law) preferred;
  • Sound knowledge of Microsoft Office;
  • 1-3 years of experiences in providing Legal Secretarial or Paralegal support in a Corporate environment;
  • Experience in drafting minutes;
  • Excellent command of the English, verbal and written;
  • MBO4+ education, preferably Legal.
