Make your mark for patientsWe are looking for a Head of Corporate Governance and Administration who is passionate, collaborative, and has excellent leadership skills to join our Corporate Secretariat, Legal Finance and M&A team, based in our headquarters in Brussels, Belgium.About the roleThis role will manage a small team responsible for UCB’s Corporate Governance, Capital Markets compliance and Affiliate Administration. Ensuring UCB SA/NV meets all Belgian Listed Company obligations, you will provide legal counsel to senior leadership, manage market abuse procedures, and oversee the administration of approximately 80 affiliate entities.Who you’ll work withIn this position you’ll report to the Secretary General and manage a team of two people (a Senior Legal Counsel and a Paralegal). You will work in close collaboration with Investor Relations, Global Communication, Sustainability & Risk and Talent Operations. You will also have regular direct interactions with the members of the Executive Committee and of the Board of Directors as well as external stakeholders including the reference shareholder, the stock exchange (Euronext) and the supervisory authority (FSMA).What you’ll do

  • Ensure UCB SA/NV meets all compliance obligations as a listed company.
  • Advise on corporate governance and manage related processes and procedures.
  • Manage shareholder relations, including organizing General Shareholders Meetings.
  • Oversee the corporate administration of UCB’s affiliate entities worldwide.
  • Manage insider trading and market abuse compliance procedures.
  • Provide legal counsel on corporate law and governance issues.
  • Represent UCB in external professional bodies and associations (e.g. Association belge des sociétés cotées)

Interested? For this role we’re looking for the following education, experience and skills

  • Master’s degree in law with expertise of Belgian company law and financial laws (capital markets).
  • 8+ years of experience as an in-house lawyer or at an international law firm specializing in corporate/finance law and market abuse. Experience with Belgian listed companies is a must.
  • Excellent knowledge of French, Dutch, and English.
  • Broad and holistic understanding of financial markets and listed companies environment.
  • Experience in cross-functional teamwork and digitalization of legal functions
